About the Role
An exciting opportunity has arisen for a junior to mid-level debt capital markets (DCM) lawyer to join a prestigious and market-leading corporate and finance practice in London. This role offers exposure to some of the most complex and high-profile DCM transactions globally, working with a diverse and elite client base, including major corporates, financial institutions, and sovereign entities.
The role sits within a highly regarded and collaborative team known for advising on the full spectrum of debt capital markets products, including bonds, EMTN programmes, regulatory capital issuances, and liability management transactions. You will work closely with market-leading partners, gaining exceptional experience and career development opportunities.
Key Responsibilities:
- Advising clients on a broad range of DCM matters, including investment-grade bonds, structured debt instruments, high-yield bonds, and regulatory capital issues.
- Drafting and negotiating key transaction documents, such as offering circulars, programme documentation, terms and conditions, and legal opinions.
- Assisting on liability management exercises, including consent solicitations, tender offers, and exchange offers.
- Providing advice on market regulations and compliance, including UK Prospectus Regulation, listing requirements, and relevant regulatory considerations.
- Managing relationships with key clients, investment banks, and underwriters, delivering clear, commercially focused advice.
- Working on both domestic and cross-border transactions, often involving complex, multi-jurisdictional elements.
- Supporting business development efforts, such as preparing client pitches, training sessions, and thought leadership initiatives.
Key Requirements:
- 1-4 years' post-qualification experience (PQE) in debt capital markets at a top-tier law firm.
- Strong technical knowledge of DCM products, UKLA listing rules, and broader market regulations.
- Experience acting for issuers, underwriters, or lead managers on bond issuances, MTN programmes, or liability management.
- Exceptional drafting and analytical skills, with strong attention to detail.
- The ability to manage multiple workstreams and deadlines in a fast-paced, collaborative environment.
- A proactive, client-focused approach with excellent communication and teamworking skills.
- England & Wales qualification preferred; equivalent international qualifications will be considered.
