Group Structure of the Incentives Practice
The firm's Incentives practice is part of its integrated Pensions, Employment, and Incentives (PEI) group, which is led by five Partners and includes around 25 Associates, six professional support lawyers, and seven Trainees. They advise on employment, incentives, and pensions, with many lawyers working across multiple areas. As an Incentives Associate, one would have the opportunity to collaborate with any of the incentives partners and senior counsel within the PEI group, as well as with partners and colleagues from Corporate, Private Equity, Financial Institutions, and Tax practices.

The group's incentives work covers significant transactions, including takeovers, private M&A deals, business transfers, IPOs, demergers, outsourcing, and restructuring and insolvency scenarios.

Incentives Work Overview
The firm advises both public and private companies on executive incentivization and remuneration arrangements, including the design, implementation, and operation of cash and equity-based incentives such as long-term incentive plans, growth share schemes, and phantom plans. They also provide guidance on management incentivization in private equity transactions and advise on UK corporate governance requirements concerning executive remuneration.

Key Responsibilities:
The key responsibilities of this role include:

Serving as the day-to-day contact for advising clients on a wide range of share plan and incentives issues, including remuneration and corporate governance.
Drafting, reviewing, and amending the legal and commercial aspects of incentives documentation.
Managing the share plan and incentives aspects of corporate transactions of various types.
Providing first-line support to clients on some matters, while working within a larger team for others.
Supervising the work of trainees.
Collaborating with other departments to advise on related issues.
Developing the practice by promoting the firm's work to existing and potential clients, and contributing to knowledge creation through client bulletins and training events.
Candidate Profile:
Ideal candidates for this position should have:

An interest in pursuing a career as an incentives lawyer. Prior experience in incentives is desirable, though candidates with corporate/private equity experience and an interest in management incentivization are also encouraged to apply. Experience with private equity management incentivization and related tax matters is a plus.
A strong academic background, high intellectual rigor, and excellent analytical abilities.
Flexibility and willingness to support on employment or other related matters, as needed.
The ability to draft, advise, and negotiate on complex transactions, identifying key technical issues and explaining them in a commercial and concise manner.
First-rate legal/commercial knowledge and technical skills.
Excellent client relationship and transaction management skills.
